Terms of Sale and Use

1. Publisher

Proxoria is published by AKTINOVE, a French SAS registered with the Nantes Trade and Companies Register under number 801 908 252, registered offices: 27 rue Ferdinand Alexandre Boutillier, 44800 Saint-Herblain, France. Contact: contact@proxoria.com. Hosting: OVH.

2. Account

Creating an account requires a verified email address and constitutes acceptance of these terms. The customer is responsible for the confidentiality of its credentials and API key, and for the authorizations granted from its account.

3. Plans, payment and renewal

Plans and their limits (users, API calls, connectors) are described on the Pricing page; prices are exclusive of taxes. Payment is processed by Stripe and subscriptions renew automatically. Price changes apply from the next renewal.

If a payment fails, access to paid features may be suspended without delay, and the workspace downgraded to the free plan failing regularization. As the Service is reserved for business customers, no consumer withdrawal right applies.

4. Termination

The customer may cancel at any time from its dashboard, effective at the end of the current period. What happens to data after account closure is described in our Privacy Policy.

5. AI-triggered actions and generated content

Proxoria executes the instructions of the AI assistants that the customer has itself connected and authorized. The customer remains solely responsible for those instructions and their consequences in its third-party applications.

Guardrails are provided and configured under the customer's responsibility: prior approval of write actions (enabled by default), per-assistant connector selection, and an activity log. These guardrails are operational conveniences and transfer no liability: whether approval is enabled or not, and whether a given action was approved or not, the customer remains responsible for the actions carried out from its account and for the content its assistant sends.

The outputs produced by an AI assistant — text, translations, content, values or record selections — are generated probabilistically and may contain errors, omissions or inaccuracies, including where the instruction given was correct. The customer undertakes to review them before any publication, distribution, sending to third parties or other use, and bears the consequences of that use. The customer is also responsible for complying with its own obligations regarding the use of AI-generated content.

Some actions carried out in third-party applications are irreversible — sending a message, publishing, modifying or deleting records. The publisher relays those actions without assessing their appropriateness, accuracy or compliance, and has no means of undoing them. The customer is responsible for keeping its own backups of the data held in its third-party applications.

6. Third-party services and connectors

Connectors rely on third-party services and APIs that the publisher neither operates nor controls. These third parties may, at any time and without notice, change, limit, deprecate or discontinue their APIs, modify their terms, pricing, authorization scopes or authentication mechanisms, or suspend and revoke the access and authorizations the customer has granted them.

As a result, a connector may stop working, in whole or in part, temporarily or permanently; the publisher may adapt, restrict or remove a connector accordingly, without incurring liability on that basis. The customer is responsible for maintaining valid access to its own third-party accounts, holding the necessary rights and authorizations, and complying with those services' terms. No warranty of continued compatibility is given.

7. Availability and intellectual property

The publisher strives to keep the Service continuously available, without a service-level commitment. The Service remains the publisher's property; the customer's data remains its own.

8. Liability and indemnity

The publisher's liability is limited to direct damages and capped at the lower of the amounts paid over the last 3 months and the direct loss actually suffered by the customer. The publisher is not liable for malfunctions attributable to the customer's third-party applications or AI assistants.

Excluded in particular are indirect damages, the loss or corruption of data within third-party applications, loss of business, revenue, customers or reputation, and the consequences of an action carried out in accordance with an instruction issued by the customer's AI assistant or of content generated by it.

The customer shall indemnify the publisher against any third-party claim, action or demand — in particular from its own customers, its employees, a third-party application provider or an authority — arising from the instructions given to an AI assistant, from content generated or published through it, or from the customer's use of the connected applications, and shall bear the financial consequences thereof, including reasonable defence costs.

9. Changes, language and governing law

The publisher may amend these terms at any time; the applicable version is the one published on this page, and substantial changes are brought to the customer's attention. These terms are governed by French law; failing amicable resolution, disputes fall under the jurisdiction of the courts of Nantes, France.

These terms are drawn up in French. The English, German, Italian and Spanish versions are translations provided for the customer's convenience and have no independent contractual value: in the event of any discrepancy or difficulty of interpretation, only the French version is authoritative.
